Terms that apply to Techiprop services, software licensing, QPlus, Property Pulse, onboarding and support.

1. Scope and acceptance

These Terms and Conditions apply to clients and users who engage Techiprop for property management services, Property Pulse, QPlus, software licensing, onboarding, support, consultation, customisation or related services. By requesting a quotation, accepting a proposal, paying an invoice, signing a service agreement or using a Techiprop service, you agree to these terms together with any written quotation, service agreement, proposal or invoice issued to you.

2. Services and quotations

Techiprop provides quote-based property management and proptech services. Services may include property administration, rental support, sectional-title or HOA support, Property Pulse reporting, QPlus app setup, QPlus support, software licensing, integrations, onboarding, configuration, customisation, reporting and related support.

All pricing, service scope, modules, setup requirements, monthly fees, service levels and support arrangements must be agreed in writing. A quotation is valid only for the period stated in that quotation and may be updated if the client environment, data requirements, system scope or operational assumptions change.

3. Client responsibilities

Clients must provide accurate company, billing, property, estate, unit, owner, tenant, user, integration, access and operational information required for Techiprop to provide the agreed services. Clients remain responsible for approvals, estate rules, owner or trustee mandates, user eligibility, access authorisations and legal or operational decisions that remain under the client’s control.

Clients must not use Techiprop services for unlawful activity, fraudulent payments, restricted goods or services, money laundering, illegal products, gambling, tobacco, liquor, adult content, prescription medicine or other high-risk activities unless expressly approved in writing and lawful.

4. Payment gateway and payment processing

Online payments may be processed by an approved payment provider once activated for Techiprop's account. Techiprop does not intentionally store full card numbers, CVV, card-track data or sensitive cardholder authentication data. Card and online payments are processed through the approved gateway and may be subject to gateway, card scheme, acquiring-bank, fraud-screening, 3D Secure, chargeback, refund and settlement rules.

Payments are accepted for legitimate Techiprop services, software fees, setup fees, monthly fees, support fees, licensing fees and other agreed service charges. Clients and users must not submit false payment information or attempt chargebacks, reversals or disputes without a valid basis.

5. Software access, QPlus and Property Pulse

Where Techiprop provides access to software, dashboards, portals, mobile applications or related digital services, access is licensed and not sold. Access may be limited to approved clients, estates, users, administrators, residents, tenants, contractors or authorised representatives. Techiprop may suspend or restrict access where reasonably necessary for security, non-payment, eligibility, fraud prevention, legal compliance, misuse or operational risk.

QPlus may be configured for closed estate environments. Where wallet, in-app credit, micro-service, delivery or estate service functionality is enabled, additional QPlus wallet, app, privacy, PAIA, micro-service and delivery terms may apply.

5A. QPlus micro-services, prepayment and provider portal access

Where QPlus includes approved micro-services such as restaurants, laundry, cleaning, estate-approved services or other in-app services, those micro-services are made available only inside the approved QPlus estate ecosystem and are subject to estate approval, operational configuration and the applicable payment model.

For micro-services such as restaurants, QPlus may use a prepayment or secured-order model where products, menus, availability or order capacity are prepaid, secured or confirmed upfront before they are listed or made available in the app. This model is intended to reduce the risk of QPlus acting as a third-party funder, lender, credit provider or financier for the micro-service provider. QPlus does not guarantee demand, sales volumes, stock movement, fulfilment levels or provider revenue.

Approved providers may use the QPlus portal to receive orders, manage availability, update menu or service information, support fulfilment, communicate order status and assist with service administration. Micro-service providers remain responsible for their own products, pricing, stock, preparation, service quality, fulfilment, staff, permits, licences, tax obligations, complaint handling and compliance with applicable laws and estate rules.

Micro-service providers may pay Techiprop, QPlus or the relevant platform operator a setup, administration, support, portal-access, technology or service fee where applicable. Unless expressly agreed in writing, use of the QPlus portal does not make QPlus the seller, employer, partner, agent, franchisee, guarantor, escrow agent or funder of the provider, and does not transfer provider-specific operational responsibilities to QPlus.

6. Service delivery and availability

Delivery timelines depend on agreed scope, client cooperation, available data, approvals, third-party providers, gateway onboarding, software configuration, estate rules and technical integration requirements. Techiprop will take reasonable steps to deliver agreed services, but cannot guarantee uninterrupted availability of software, third-party gateways, networks, hosting providers, app stores, payment systems, banks, estate access systems or third-party services.

7. Fees, invoices and taxes

Fees are payable as stated in the applicable quotation, invoice or service agreement. Unless expressly stated otherwise, fees are exclusive of applicable taxes, third-party costs, banking charges, gateway fees, chargeback fees, reversal fees, support charges, additional development fees, data migration fees and other out-of-scope charges.

Techiprop may suspend services or access for overdue invoices, failed payments, chargebacks, disputed payments or breach of agreed payment terms, subject to applicable law and any agreed cure periods.

8. Intellectual property

Techiprop and its licensors retain ownership of all intellectual property in Techiprop software, designs, documents, templates, dashboards, workflows, databases, code, integrations, reports, trademarks and related materials, except where a written agreement expressly states otherwise. Clients may use the materials only for the agreed business purpose and may not copy, reverse engineer, resell, sublicense or distribute them without written permission.

9. Privacy and confidential information

Techiprop processes personal information in accordance with its Privacy Policy and applicable South African law. Clients must ensure that they have the required authority, notices and consents to provide personal information to Techiprop, including information relating to owners, tenants, residents, users, contractors, service providers and estate contacts.

Each party must protect confidential information received from the other party and use it only for the agreed purpose, unless disclosure is required by law or authorised in writing.

10. Cancellation, refunds and remedies

Cancellation and refund rules are set out in the Refund and Cancellation Policy. Setup, onboarding, configuration, customisation, licensing, integration and development work may be non-refundable once work has started or resources have been allocated. Any required consumer-law remedies will be provided where applicable.

11. Liability

To the maximum extent allowed by law, Techiprop is not liable for indirect, special, consequential, incidental or punitive losses, loss of profits, loss of opportunity, business interruption, loss caused by incorrect client data, user error, unauthorised account use, third-party provider failure, gateway downtime, device or network issues, estate access controls, app-store issues, force majeure or events outside Techiprop’s reasonable control.

Where liability cannot lawfully be excluded, Techiprop’s liability is limited to the remedy required by law or, where allowed, to the amount paid for the affected service during the relevant period.

12. Governing law

These terms are governed by the laws of the Republic of South Africa. South African courts and tribunals with jurisdiction may hear disputes, subject to any applicable consumer-law rights.
